PART I: TERMS AND CONDITIONS OF SERVICE

1. Agreement to Terms

By accessing, using, or registering on the website www.ezypayment.in or any associated mobile applications, platforms, or services operated by PAYCLOUD INFOTECH SOLUTIONS PRIVATE LIMITED (hereinafter referred to as the "Company", "We", "Us", or "Our"), you (hereinafter referred to as "User", "You", or "Your") agree to be bound by these Terms and Conditions ("Terms").

These Terms constitute a legally binding agreement between You and the Company. If You do not agree to any part of these Terms, You must not access or use our Services. By using the Services, You confirm that You have read, understood, and agree to be bound by these Terms in their entirety, including any future modifications made in accordance with Clause 11 herein.

These Terms apply in addition to, and do not replace, any other terms or conditions that may apply to You in connection with the use of specific Services offered by the Company. In the event of any conflict, the supplementary or service-specific terms shall prevail.

2. Definitions

  • Services — All payment processing solutions, fintech products, SaaS platforms, APIs, merchant tools, dashboards, mobile applications, integrations, settlement services, reporting tools, and related services.
  • Platform — The technological infrastructure including websites, mobile apps, APIs, backend systems, cloud services, software, and hardware.
  • Transaction — Any payment, transfer, settlement, refund, hold, freeze, reversal, or financial operation facilitated through the Platform.
  • Merchant — Any entity or individual registered to accept payments or use merchant services pursuant to a Merchant Agreement.
  • End User — Any consumer who initiates or completes a Transaction through a Merchant.
  • Content — All text, graphics, data, code, logos, trademarks, designs, and materials available on the Platform.
  • Merchant Agreement — A separate agreement governing merchant-specific terms.
  • User Data — All data submitted or generated by a User, including personal and transaction information.
  • Force Majeure Event — As defined in Clause 17.

3. Eligibility

To use the Services, You must be at least 18 years old, legally capable of entering into a binding contract, not be subject to sanctions, and not have been previously terminated from the Platform.

If acting on behalf of a business entity, You represent that You are duly authorised, the entity is legally incorporated, and holds all necessary licences.

The Company reserves the right to refuse access or registration at its sole discretion.

4. Account Registration & Verification

4.1 Registration Process

You must provide accurate, complete, and current information during registration. The Company may reject any application at its discretion.

4.2 Account Security & Confidentiality

You are solely responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and access tokens.

The Company shall not be liable for losses arising from unauthorised access due to Your negligence. Any suspected breach must be reported immediately to support@ezypayment.in.

4.3 KYC and AML Compliance

The Company complies with all applicable KYC and AML laws including the Prevention of Money Laundering Act, 2002 and RBI Master Directions.

Failure to comply may result in account suspension, termination, or withholding of funds.

4.4 One Account Per User

Each User may maintain only one account unless expressly authorised in writing.

5. Use of Services

5.1 Permitted Use

Services may only be used for lawful purposes and in accordance with applicable laws.

5.2 Prohibited Conduct

  • Violation of any applicable law or regulation
  • Fraud, deception, or harmful activity
  • Transmission of malware or malicious code
  • Unauthorised access or interference with the Platform
  • Impersonation or misuse of data

5.3 Monitoring & Enforcement

The Company may monitor, suspend, terminate access, or withhold funds without prior notice.

6. Payment Processing & Transactions

6.1 Fees and Charges

All fees are disclosed at service initiation. Fee changes will be notified at least 30 days in advance unless required by law.

6.2 Role of the Company

The Company is not a party to the underlying transaction between Merchant and End User.

6.3 Merchant-End User Disputes

The Company is not liable for disputes unrelated to payment processing failures.

6.4 Holds, Freezes, and Reversals

Funds may be held or reversed due to fraud, disputes, legal requirements, or breaches.

6.5 Currency and Exchange Rates

Exchange rates are determined by the Company or processors and may differ from market rates.

6.6 Transaction Records

Records are maintained for at least seven (7) years as required by law.

7. Intellectual Property Rights

All intellectual property belongs exclusively to the Company or its licensors.

8. Third-Party Services

The Company is not responsible for third-party services or their policies.

9. User Representations & Warranties

You confirm lawful use, accurate information, and necessary authorisations.

10. Compliance with Law

You must comply with all applicable Indian laws and regulations.

11. Modification of Terms

Terms may be updated at any time. Continued use constitutes acceptance.

12. Termination

Accounts may be terminated by either party subject to these Terms.

13. Indemnification

You agree to indemnify the Company against claims arising from Your actions.

14. Governing Law & Jurisdiction

These Terms are governed by Indian law. Courts of Patna, Bihar have exclusive jurisdiction.

15. Entire Agreement

These Terms constitute the entire agreement between You and the Company.

16. Waiver & Severability

Invalid provisions do not affect the enforceability of remaining Terms.

17. Force Majeure

The Company is not liable for events beyond its reasonable control.

18. Assignment

Assignment by Users requires written consent. The Company may assign freely.

19. No Partnership or Agency

These Terms do not create a partnership or agency relationship.

20. Notices

Notices may be delivered via email, courier, or Platform posting.
